Walnut Creek First Wednesdays
Events take place the months of April through October from 5:30-8:30PM

Please complete and submit this Vendor Agreement to apply to participate as a vendor at Walnut Creek First Wednesdays hosted by Walnut Creek Downtown, Inc., a California corporation (WCD).
The final determination of participating vendors is at the sole discretion of WCD. Once you have been selected as a participating vendor, your participation fee payment must be made at least 21 days in advance of the particular event in which you are to participate. There are NO REFUNDS for any reason.

NOTE - selecting a month does not guarantee participation in that month. WCD will contact you with your assigned month once your form has been reviewed.
All for-profit businesses will be required to pay a participation fee as set forth below prior to participating in Walnut Creek First Wednesdays.

If you selected “Non-profit” above, please provide specific details about your non-profit in the space provided below, including type of entity (i.e. public charity, private foundation or other) and any other important or helpful information about your business.
If you selected “For-profit” above, please provide specific details about your business in the space provided below, including type of entity (i.e. corporation, partnership, sole proprietorship, LLC) and any other important or helpful information about your business. For-profit businesses are required to pay a participation fee as detailed above.
You will provide and maintain in effect workers’ compensation and comprehensive general liability insurance coverage in a minimum amount of $1,000,000 naming Walnut Creek Downtown as an Additional Insured. WCD must receive your Certificate of Insurance, naming it as an additional insured, prior to the event in which you are scheduled to participate.
The following is a detailed and comprehensive list of the items and products you will sell at the event.

Failure to follow any of these rules will result in forfeiture of your payment and termination of your right to participate in Walnut Creek First Wednesdays. As used herein, “you” and “your” includes you and your employees, agents, contractors and affiliates.
Your participation fee must be pre-paid in full at least 10-14 days prior to the event in which you are participating. Drop-in vending is not allowed.
You will not be permitted to occupy or sell in an additional or different space than you have been assigned.
You are only permitted to sell the items listed above. Any changes to the items sold must be approved by WCD.
You must have a valid temporary food event permit from the Contra Costa County Department of Health Services if you plan to operate a food or beverage concession. You will be held responsible for any fees or fines that may occur if I do not follow the applicable Department of Health Services guidelines.
You will comply with all applicable federal, state or local laws, rules or regulations and will obtain all required licenses or permits.
You will not be permitted to consume any alcoholic beverages on City of Walnut Creek property.
You will maintain your booth and space in a neat and orderly fashion, free of any trash or debris and will dispose of all trash and debris generated by your booth.
You will not block or set up in the designated fire lane or along Commercial Lane.
You will arrive and unload between 3:00pm and 4:30pm (at the latest) on the day of the event. I will check in with the event coordinator prior to set up. Set up must be completed by 5:00pm.
You understand that a late arrival may mean that your designated space was given away; arrivals after 4:30pm are considered no-shows and will be deemed to have forfeited their payment and their right to participate.
You will have your booth broken down within one hour of the event end time and will leave your space in the original condition as when you arrived. Late tear downs may not be allowed to return.
You will take full responsibility for your merchandise, personal belongings, supplies, and staff . WCD and the City of Walnut Creek will not be liable for any damage, theft, vandalism or loss of merchandise or personal property or supplies.
You will be responsible for all sales, payroll or other taxes, fees and assessments required by applicable federal, state or local law and will be responsible for paying your employees, agents, independent contractors or affiliates.
You will listen to and take direction from event staff and follow their rules, regulations and instructions.
Only approved food vendors are allowed to vend food and drinks. No food or beverages of any kind may be sold, sampled, or given away at the event without the prior approval of WCD.
You will follow all event rules as stated here in this Vendor Agreement and those in the approval/invoice/updates from WCD or the City of Walnut Creek.
Space is limited and submission of this application and Vendor Agreement does not guarantee that you will be provided space at any given event.
Liability Waiver and Indemnification: You hereby acknowledge that you have voluntarily chosen to participate in the Walnut Creek First Wednesdays events operated by WCD. You hereby agree to take full responsibility for your company/ entity, its belongings, property, vehicles, employees and products. You further agree to indemnify and hold harmless the event property, the City of Walnut Creek, Walnut Creek Downtown, and any of their respective officers, directors, representatives, associates, agents, employees, and principals from any actions, claims, losses, damages, causes of action, liabilities, costs or expenses, including reasonable legal fees and expenses, arising or resulting from your participation in the Walnut Creek First Wednesdays.
This document will serve as a legal and binding contract between you and WCD. Printing or typing your name below will be considered an electronic signature:
Acknowledging that you have read and understood the above rules, policies and agreements regarding this Vendor Agreement
Certifying that the information you provided herein is true, correct and complete in all material respects; and
Agreeing to be bound by the rules, terms and conditions contained in this Vendor Agreement.
